Terms and Conditions
Welcome to Mive International!
Purpose: These general terms and conditions govern all commercial transactions between Mive Ahouandjinou (hereinafter referred to as "the Seller") and its customers (hereinafter referred to as "the Customer") in the import and export of exotic fruits.
Orders: Any order placed by the Customer is considered firm and final once confirmed in writing by the Seller. Order details, including logistics Incoterms, are agreed upon at the time of order confirmation.
Price and Payment: Product prices are quoted in euros (EUR) and are exclusive of taxes and delivery charges, unless otherwise stated. Payment shall be made according to the terms agreed upon between the Seller and the Customer. In case of payment delay, late penalties shall apply as follows:
Late Payment Penalty: Any late payment shall incur a penalty calculated at the rate of 8% per annum above the European Central Bank (ECB) refinancing rate (for customers in the EU) or 5% per annum (for customers in Switzerland), calculated from the day after the due date until full payment is received. Additionally, the Customer shall be liable for any legal and collection costs incurred by the Seller as a result of the late payment.
Delivery and Incoterms: Logistics Incoterms are used to define the responsibilities of the Seller and the Customer regarding the transportation and delivery of the products. Delivery details, including costs and responsibilities, are specified in the sales contract.
Transfer of Risk and Ownership: The risk and ownership of the products pass from the Seller to the Customer according to the agreed Incoterms specified in the sales contract. This ensures that the responsibilities are clear and consistent with international trade practices.
Claims: The Customer has a period of 1 week from the receipt of the products to make any claim regarding their conformity or condition. After this period, the products are deemed to be in conformity and accepted by the Customer.
Returns and Cancellations: Any return of products or cancellation of orders must be agreed upon in advance between the Seller and the Customer, in accordance with the agreed Incoterms. In case of order cancellation by the Customer before the provision of sales documents, the Customer agrees to pay 50% of the total order amount as compensation.
Liability: The agreed Incoterms define the responsibilities of the Seller and the Customer regarding risks and costs related to the transportation of the products. The Seller shall not be held liable for damages occurring during the transportation of the products, except in case of proven fault on its part.
Force Majeure: The Seller shall not be liable for any non-performance or delay in the execution of its obligations resulting from a force majeure event.
Non-Conformity of Products: If the products delivered do not meet the agreed specifications, including issues of poor quality or spoilage, the Customer must notify the Seller within 1 week of receipt. The Seller reserves the right to inspect the products and determine whether they meet the contractual standards. If the products are found to be non-conforming, the Seller will, at its discretion, replace the products or issue a partial refund. The Seller's liability is limited to the value of the non-conforming products, and the Customer shall not be entitled to any additional compensation or damages.
International Mango Standards: The Seller adheres to the international standards for mango quality as defined by the Codex Alimentarius or equivalent international bodies. The products delivered must comply with these standards, which include but are not limited to specifications on size, weight, color, maturity, and absence of defects. In case of dispute regarding quality, an independent third-party inspection based on these standards may be requested by either party, with costs shared equally. Confidentiality: The Seller and the Customer agree to keep confidential all information related to their commercial transactions, including but not limited to pricing, product specifications, and order details. This confidentiality obligation shall remain in force for a period of five years following the conclusion of the transaction. Disclosure of such information is permitted only with prior written consent from the other party or if required by law
Applicable Law and Disputes: These general terms and conditions are governed exclusively by Swiss law. Any dispute arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of the canton of Geneva.
By accepting an offer, the Customer acknowledges having read and accepted these general terms and conditions without reservation.
